By creating an account or using the Service, you represent and warrant that you are at least 13 years old (or the minimum age required by the laws applicable to your jurisdiction) and have the legal capacity to enter into these Terms.

Subject to these Terms and your compliance with them, Geottuse, Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service solely for your personal or internal business purposes.

This license does not permit you to copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or create derivative works from any part of the Service except where expressly permitted by applicable law.

Account Creation: To use our service, you need to create an account. You agree to provide accurate, complete, and updated information.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Free Trial Period: New users will receive a one-week free trial of our Service, beginning on the day they select our plan.

Subscription Activation: At the end of the trial period, users will be required to provide their payment information and choose a subscription plan to continue using the service. Paid subscriptions are available under the Standard and Advanced plans, with pricing displayed at the time of subscription.

Fees: Subscription pricing, features, limits, and available plans are displayed within the Service and may change from time to time.

Billing: 1. Mobile Payments (In-App Purchases): For users of our mobile app, all in-app purchases are processed through the respective app store’s payment system —Apple’s In-App Purchase (IAP) for iOS users and Google Play Billing for Android users. By making a purchase, you agree to comply with the terms and conditions of the applicable app store.

2. Web/Desktop Payments (Stripe): For users accessing our services via desktop or web, we process payments using Stripe, a third-party payment processor. By providing your payment details, you authorize us to charge your selected payment method for all applicable fees. Stripe handles your payment processing in accordance with their Terms of Service and Privacy Policy.

Refunds: Except where required by applicable law or the policies of Apple App Store or Google Play, subscription fees are non-refundable. Purchases made through Apple App Store or Google Play are governed by their respective refund policies.

Automatic Renewal:Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. By subscribing, you authorize us or our payment processors to charge your selected payment method for each renewal until your subscription is cancelled.

Pausing Your Subscription: You can pause your subscription at any time before the start of the next billing cycle to prevent any further charges. Pausing will stop future billing, but you will retain access to the service until the end of your current billing period.

Resuming Your Subscription: If you pause your subscription, you will be immediately charged for the next full billing cycle when you resume. This means that if your trial has already ended and you've been billed for a subscription, upon resumption, you will be charged for the next full month (or billing cycle) right away, even if you were paused for part of the previous cycle.

Account Deletion and Subscription Removal: For subscriptions purchased through Apple App Store or Google Play, deleting your account does not automatically cancel your subscription. You are responsible for canceling through the applicable app store.

While we strive to provide reliable access to the Service, we do not guarantee uninterrupted, secure, timely, or error-free operation.

The Service may become unavailable due to scheduled maintenance, software updates, hardware failures, internet outages, security incidents, or failures of third-party providers.

Geottuse, Inc. shall not be liable for delays or failures in performing its obligations caused by events beyond its reasonable control, including natural disasters, pandemics, internet outages, utility failures, cyberattacks, labor disputes, government actions, or failures of third-party providers.

We may temporarily suspend or restrict access to your account without prior notice if we reasonably believe that:

• You have violated these Terms.
• Your account presents a security risk.
• Payment cannot be successfully processed.
• Fraudulent or unauthorized activity is suspected.
• We are required to do so by law.

Reminder Notifications: When you set a reminder for a note, our service will send you an email notification at the specified time. The email may contain multiple notes if you have set reminders for more than one, with each note showing its respective reminder status (e.g., due or upcoming).

User Consent: By using the reminder feature, you acknowledge and consent to receiving email notifications for reminders.

We do not guarantee that reminders, notifications, emails, or push notifications will be delivered on time or at all. Users are responsible for maintaining their own schedules, deadlines, and backups of important information.

You agree not to:

• Violate any applicable laws or regulations.
• Infringe another person's intellectual property rights.
• Upload malware, viruses, ransomware, or other harmful code.
• Attempt unauthorized access to any account or system.
• Interfere with or disrupt the Service.
• Use bots or automated tools to scrape or collect data without permission.
• Reverse engineer or decompile the Service except where permitted by law.
• Use the Service for fraudulent or deceptive activities.
• Transmit spam or unsolicited communications.
• Impersonate another person or organization.
• Upload content you do not have permission to use.
• Use the Service to violate another person's privacy.
• Use the Service to distribute malware

We are not responsible for the accuracy, completeness, legality, reliability, or usefulness of any content created, stored, or shared by users through the Service. Users are solely responsible for reviewing and maintaining their own information, projects, tasks, reminders, notes, and other content.

You may delete your account at any time through the Service. Upon deletion, we will remove or anonymize your personal information within a reasonable period, except where retention is required for legal, accounting, fraud prevention, security, operational, or regulatory purposes.

User Content: You retain ownership of any content you create using our Service.

Our Content: All content and materials provided by us are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our permission.

Please review our Privacy Policy to understand how we collect, use, disclose, store, and protect your personal information. We handle personal information in accordance with applicable privacy laws, including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), and other applicable laws where required.

We may terminate or suspend your access to our Service at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users or our Service.

Disclaimer: Our Service is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that our Service will be error-free or uninterrupted.

Limitation of Liability: In no event shall Geottuse, Inc., its officers, directors, employees, contractors, affiliates, licensors, and service providers be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or any other financial or non-financial loss, arising out of or in connection with your use or inability to use the app, even if Geottuse, Inc., its officers, directors, employees, contractors, affiliates, licensors, and service providers have been advised of the possibility of such damages. You acknowledge and agree that the app does not provide a backup feature, and you are solely responsible for backing up any data you enter into the app. Geottuse, Inc., its officers, directors, employees, contractors, affiliates, licensors, and service providers will not be responsible for any damage or loss that may occur due to the absence of such backup features. The Service is provided for organizational and productivity purposes only. We do not guarantee the availability, accuracy, completeness, reliability, or uninterrupted operation of the Service.

To the maximum extent permitted by law, Geottuse, Inc., and its officers, employees, contractors, and affiliates shall not be liable for any loss of data, missed reminders, lost business opportunities, lost profits, business interruption, or any indirect, incidental, consequential, special, or punitive damages arising from the use of the Service.

You are responsible for maintaining copies of any important information stored within the Service.

We may use third-party providers to process payments, deliver email and push notifications, provide cloud hosting and infrastructure, analytics, customer support tools, and other services necessary for operating the Service.

We are not responsible for outages, interruptions, policy changes, or failures caused by third-party providers.

We may send you updates by email if you provide your email:

• Transactional Emails: These are necessary communications related to your account, such as registration confirmations, password resets, and other important updates. These emails are essential for your use of our Service and cannot be opted out of.
• Note Reminders: If you have created notes with reminders, we may send you reminder emails to help you stay on track with your notes. These reminders are considered part of our service, and you cannot opt out of receiving them if they are set for your notes.
• Marketing Emails: We may send you product updates, or other marketing-related content. You will have the option to opt out of receiving these emails at any time by clicking the unsubscribe link in any marketing email or through your account settings under "Communications" section.
• You can manage your email preferences directly on the website through your account settings.
• You will also be able to unsubscribe by clicking the unsubscribe link included in any marketing email.

Please note that even if you unsubscribe from marketing emails, you will still receive important transactional emails and note reminders related to your account or service use, unless you delete your account.

If you submit suggestions, ideas, feature requests, bug reports, or other feedback regarding the Service, you grant Geottuse, Inc. a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, publish, and incorporate that feedback into the Service without compensation or obligation to you.

We take the security of your data seriously. Your notes' and folders' information entered by you and notes' images are encrypted before being stored in our database using a unique encryption key. This encryption key is also encrypted and stored securely. Access to encryption systems is restricted and used only when necessary for service operation, security, troubleshooting, customer support, or legal compliance.
While we use industry-standard encryption methods to protect your data, no system is completely secure. You acknowledge that:

• Encryption Scope: Only the information you manually enter for your notes, folders, boards, subboards, tasks, subtasks, reminders, sticky notes, attachments, and other user-generated content, and your notes' images are encrypted. Other system-generated data remains unencrypted.
• Encryption Process: Your manually entered folders' and notes' information, and notes' images are encrypted before storage, ensuring that unauthorized parties cannot access them.
• Key Storage: Your encryption key is encrypted and securely stored, preventing direct access.
• Authorized Access: Access to encrypted user content is strictly limited to authorized personnel when reasonably necessary for customer support, troubleshooting, security, legal compliance, or operation of the Service.
• Security Risks: Despite our best efforts, data breaches or unauthorized access may still occur. By using the Service, you accept the risks associated with storing encrypted data online.

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on our website. Your continued use of the Service after the changes take effect constitutes your acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy and any policies incorporated by reference, constitute the entire agreement between you and Geottuse, Inc. regarding your use of the Service.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
